Welcome to Candor Data Platform (formerly Candor IDE), an integrated development environment and code
generation service utilizing Artificial Intelligence (AI). These Terms and Conditions ("Terms")
govern your access to and use of the Candor Data Platform software and services (the "Service")
provided by Proden Technologies, Inc., a company registered in Wyoming, USA, located at 30 N Gould
St, Sheridan, Wyoming 82801.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound
by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. The Service and AI Output
2.1. Service Description: Candor Data Platform provides tools for software
development, including an AI model that generates code snippets, suggestions, text, and other
content ("AI Output") based on user prompts and existing code.
2.2. No Professional Advice: The AI Output is for assistance and informational
purposes only. It is not professional, legal, or security advice.
2.3. AI Output Disclaimer (As-Is): The AI Output is provided "AS IS" and "AS
AVAILABLE." Candor Data Platform makes no guarantees regarding the accuracy, security,
non-infringement, or functional correctness of any AI Output. AI Output may contain errors, logical
flaws, or vulnerabilities.
3. User Accounts and Security
3.1. Account Creation: You must provide accurate and complete information to
register for an account. You are responsible for maintaining the confidentiality of your account
credentials.
3.2. Account Responsibility: You are solely responsible for all activities that
occur under your account. You must notify Candor Data Platform immediately of any unauthorized use
of your account.
4. User Content and Ownership
4.1. User Content Defined: "User Content" means all code, text, files, data, and
information that you input, upload, or create using the Service, excluding AI Output.
4.2. Ownership: You retain all ownership rights in and to your User Content. Candor
IDE does not claim ownership of your User Content.
4.3. License to Candor Data Platform: You grant Candor Data Platform a worldwide,
non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content only as
necessary to operate and improve the Service.
5. Intellectual Property and AI Output Risks
5.1. AI Output IP: Candor Data Platform hereby assigns to you all of its right,
title, and interest in and to the AI Output generated for your specific prompts.
5.2. Infringement Risk Acknowledgment: You acknowledge that AI Output is derived
from training data that may include licensed, copyrighted, or open-source material. You bear the
sole risk and responsibility for performing all necessary IP audits and license checks.
6. User Responsibility and Prohibited Conduct
6.1. Mandatory Oversight: You are required to thoroughly review, test, debug, and
validate all AI Output for functionality, security, and compliance before incorporating it into any
project or deployment.
6.2. Prohibited Uses: You agree not to use the Service or AI Output to generate or
distribute malware, violate any law, or generate defamatory or fraudulent content.
7. Limitation of Liability
To the fullest extent permitted by law, Candor Data Platform, its affiliates, and its licensors will
not be liable for any indirect, incidental, special, consequential, or punitive damages resulting
from your access to or use of the Service or any AI Output generated.
8. Indemnification
You agree to indemnify and hold harmless Candor Data Platform from and against any claims,
liabilities, damages, losses, and expenses arising out of or in any way connected with your access
to or use of the Service or AI Output, or your violation of these Terms.
9. Governing Law
These Terms shall be governed by the laws of the Commonwealth of Massachusetts, USA. All disputes
must be resolved exclusively in the state or federal courts of Boston, Massachusetts.
10. Termination
We may suspend or terminate your access to the Service at any time, for any reason, including but not
limited to a breach of these Terms. Upon termination, all provisions which by their nature should
survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity,
and limitations of liability.
